At the 452nd meeting of the board of directors on April 18, 2023, the company appointed Ms. Hsiao-Yun Yu as the Corporate Governance Officer responsible for corporate governance matters, the duties performed by the Corporate Governance Office are as at least follows:
- Handling of matters relating to board of directors meetings and shareholders meetings in compliance with law;
- Preparation of minutes of the board of directors meetings and shareholders meetings;
- Assistance in onboarding and continuing education of the directors and supervisors;
- Presented the examination results regarding the qualifications of independent directors during nomination, election, tenure report to the board of directors;
- Handling matters related to changes in the board of directors;
- Provision of information required for performance of duties by the directors and supervisors;
- Assistance in the directors’ and supervisors’ compliance of law;
- Other matters described or established in the articles of incorporation or under contract.
